VERIZON #FREESTYLE50 CHALLENGE OFFICIAL RULES

This Contest is in no way sponsored, endorsed or administered by, or associated with Twitter or Instagram. You understand that you are providing your information to Verizon and not to Twitter or Instagram. The information you provide will only be used in the event you are determined a Contest winner or if you have indicated that you would like to receive additional information from Verizon.

  1. CONTEST PERIOD: The Verizon #Freestyle50 Challenge (the “Contest”) starts November 29, 2016 at 12:00 a.m. Eastern Time (“ET”) and ends December 9, 2016 at 12:00 a.m. ET (“Contest Period”).

  2. ELIGIBILITY: Open to legal residents of the 50 United States and the District of Columbia, 18 years of age or older as of date of entry. Employees of Verizon (the “Sponsor”), Don Jagoda Associates, Inc., their respective affiliates, parents, subsidiaries, divisions, suppliers, distributors and advertising, promotional and judging agencies (collectively, the “Sponsor and its Administrators”), and its affiliates and each of their respective employees, shareholders, directors, officers, members, assigns and agents and their immediate family members and/or those living in the same household of each are not eligible to participate or win. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws.

  3. HOW TO ENTER: During the Contest Period, the Sponsor’s partner will post a 300 Entertainment-produced track on Soundcloud at https://soundcloud.com/300-entertainment/spend-it-freestyle50-track/s-kpxDD and YouTube at https://www.youtube.com/channel/UClO3VS7CpHAoRh6fYddbLQ/featured (the “Track”). Entrants can enter utilizing the Track as further explained below and can either submit an Entry (as defined below) into the radio station (“Radio Station”) competition (using the radio station handle/username) where Semi-Finalists will first need to compete in an on air radio freestyle challenge (as outlined below), or they can enter directly into the national competition (without a radio station handle/username) and forego the on air Radio Station freestyle challenge. There will be five (5) Finalists determined via the Radio Station Freestyle Challenges and two (2) Finalists determined via National Entries.

    1. Entry via Twitter: During the Contest Period, if you wish to enter into the National Competition, you may enter via Twitter.com by tweeting a video of your own original freestyle utilizing the Track (“Submission”), using the hashtag #Freestyle50Challenge and mentioning or tagging @Verizon (the “National Entry”).

      If you wish to enter into the Radio Station competition, you must use the hashtag #Freestyle50Challenge also tag one (1) of the following five (5) Radio Station Twitter handles in your Submission: @hot1079atl (WHTA), @92qjamsbmore (WERQ), @k975 (WQOK), @939wkys (WKYS), @99Jamz (WEDR) (the “Radio Station Entry”).

    2. Entry via Instagram: During the Contest Period, if you wish to enter into the National Competition, you may enter on your web-enabled mobile device via the Instagram application (collectively, with Twitter.com, the “Site”) by uploading video of your own original freestyle utilizing the Track (“Submission”) using the hashtag #Freestyle50Challenge and mentioning or tagging @Verizon (“National Entry”). If you wish to enter into the Radio Station competition, you must use the hashtag #Freestyle50Challenge and also tag or mention one (1) of the following five (5) Radio Station Instagram usernames in your Submission: @hot1079atl (WHTA), @92qjamsbmore (WERQ), @k975 (WQOK), @939wkys (WKYS), @99Jamz (WEDR) (“Radio Station Entry”).

    All radio station Twitter handles shall herein be referred to as the “Radio Handles”. Entry (as defined below) must include the hashtags and tag(s) to be eligible and must be 140 characters or less including the hashtag and tag(s) if entering via Twitter. Submission must be uploaded in a format compatible with the Site. Submissions must be sixty (60) seconds or less. Submissions must be recorded over the Track to be eligible (no other music is allowed). Your Submission must be uploaded in accordance with the Twitter Terms of Service (https://twitter.com/tos) or Instagram Terms of Use (http://instagram.com/about/legal/terms/). You must have a Twitter account to enter via Twitter and have your account settings set to “unprotected” or “public”. You must have an Instagram account to enter via Instagram and have your account privacy settings set to “Off”.  Potential winner will be required to show proof of being the authorized account holder of the Twitter/Instagram account associated with the entry. By including the hashtag #Freestyle50Challenge in your Submission, you are agreeing to these Official Rules. All Radio Station and National Entry components submitted and Submissions uploaded shall herein collectively be referred to as the entry (the “Entry”). There is no limit to the number of Entries you may submit, but all Entries must be unique.   All Entries must be completed and submitted by 12:00 a.m. ET on December 9, 2016, to be eligible. The person uploading the Entry will be deemed the entrant (the “Entrant”). The Entrant must be the only person depicted in the Entry. In the event of a dispute as to the identity of an Entrant, the Entrant will be deemed the name appearing on the Entry.  The Entry must: 1) be complete to be eligible; 2) be the property of the Entrant. Sponsor has the sole discretion to determine whether a Submission qualifies as an Entry. Any Entry not in compliance with the above and which does not meet the requirements of these Official Rules will be disqualified. By entering, you understand and agree that your Submission may (in Sponsor’s sole discretion) be posted online for consumers to view on Sponsor-selected sites. Sponsor will only be posting select videos (in their sole discretion). Sponsor reserves the right to remove any posted Submissions, in its sole discretion, even if the Submission has already been made available to the public. Participation is subject to disqualification of all Entries, if multiple accounts are used by the same person. As applicable, normal Internet/phone access and data/usage charges imposed by Entrants’ online/mobile service will apply.

  4. Entry Requirements: By entering, you agree to waive any rights you may have to the Entry submitted. The Entry, or portion thereof, must not contain obscene, profane, lewd, defamatory or inappropriate content, or be disparaging to Sponsor, as determined in Sponsor’s sole discretion. Entries must be in keeping with Sponsor's image and may not be offensive, as determined by Sponsor in its sole discretion, nor can it defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights. Entrants may not copy or otherwise plagiarize the Entry from any source (other than using provided Track). All Entries must be the sole, original work of the Entrants and include an original performance (with the provided Track). Any Entry or portion thereof that is, in the Sponsor’s sole discretion, obscene, profane, lewd, defamatory, inappropriate, disparaging, offensive, racist, homophobic, threatening or contains proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and may disqualify the Entrant. Entries should not contain any third party materials (other than provided Track or Verizon owned), or otherwise violate or infringe (or possibly infringe) any copyright, trademark, logo, mark that identifies a brand. Sponsor may blur or black out the infringing material, in their sole discretion. Entries become the property of the Sponsor and will not be acknowledged or returned. Entrants and winner acknowledge and agree that their Entries become the property of the Sponsor, which thereby has the right to edit, adapt, modify, reproduce, promote and otherwise use Entries in any way it sees fit. Twitter and Instagram are not affiliated with this Contest in any way and is not responsible for the administration of the Contest or the awarding of the prizes. No endorsement or approval of Contest by Twitter or Instagram is expressed or implied. Automated, script, macro or robotic Entries submitted by individuals will be disqualified. Entries may be posted on the Sponsor’s website or the Site and may be posted on other non-affiliated websites, in Sponsor’s sole discretion. Any Entry not in compliance with the above and which does not meet the requirements of these Official Rules will be disqualified. By participating, Entrants agree to these Official Rules and the decisions of the Sponsor/Judges/Radio Station talent/Personnel (as applicable), which shall be final and binding in all respects.

  5. RADIO STATION ENTRY SEMI-FINALIST JUDGING: Five (5) Radio Station Entry Semi-Finalists per Radio Station [twenty five (25) total] will be determined from among all eligible Radio Station Entries received per Radio Station handle/username submitted on or about December 12, 2016 by Sponsor-selected judges, whose decisions are final on all matters relating to the Contest, based on the following criteria: 40% Talent Exhibited, 30% Overall Appeal/Confidence and 30% Originality/Creativity (collectively, “Judging Criteria”). In the event of a tie score, the tied Entries will be re-judged based solely on Talent Exhibited.  Judges’ decisions are final with respect to all matters relating to the Contest.

  6. RADIO STATION FREESTYLE CHALLENGE FINALIST DETERMINATION: Each of the five (5) Radio Station Semi-Finalists per radio station [twenty-five (25) total] will be required to participate in an on air freestyle challenge at the radio station (there is no retail value associated with participation in the freestyle challenge). All details of the freestyle challenge, including duration and exact tracks to use will be provided by the Radio Station and are in their sole discretion.  Details will be provided upon arrival and Semi-Finalists must adhere to the Radio Station’s rules (and may need to execute a release in writing) in order to participate. Transportation to/from radio station is not included and may not be local to Semi-Finalists (please note this when deciding to enter via Radio Stations). The public will then have the opportunity to vote for their favorite Radio Station Entry Semi-Finalist (“Vote”) during the Voting Period (which will be outlined on air). There are two (2) ways to Vote, as follows: ONE via calling the radio station: You may Vote by calling the radio station at the phone number/during the timeframe indicated on air (please note, all callers may not get through to the Radio Station during the Voting Period). TWO via Twitter Poll: You may Vote via Twitter Poll by visiting any of the Radio Handle Twitter pages and clicking where indicated to submit a Vote for your favorite Radio Station Entry Semi-Finalist. Voters must be legal residents of the 50 U.S. and DC, 18 years of age or older (“Voters”). At the conclusion of the Voting Period, the five (5) Radio Station Entry Semi-Finalists [one (1) per radio station] who receive the most valid Votes from the callers/Twitter Poll (as determined solely by Radio Station talent/personnel) will be determined Finalists, subject to verification of Votes. In the event of a tie when determining the Finalists, the Sponsor and/or the radio station talent/personnel will judge tied Radio Station Entry Semi-Finalists based solely on Talent Exhibited to determine the applicable Finalist. NOTE: Votes generated by any calling software or any other automated means or votes by any means that subvert the voting process or do not conform to the spirit of these Official Rules will void the votes and may disqualify the Voter/Entrant. By participating, Entrants/Voters agree to these Official Rules and the decisions of the Sponsor/Judges/Radio Station talent/personnel, which shall be final and binding in all respects.

  7. NATIONAL FINALIST JUDGING: Two (2) National Finalists will be determined on or about December 12, 2016 from among all eligible National Entries received by Sponsor-selected industry judges, whose decisions are final on all matters relating to the Contest, based on the Judging Criteria. In the event of a tie score, the tied Entries will be re-judged based solely on Talent Exhibited. Sponsor will verify, in its sole discretion, the amount of likes/followers over the course of the Contest. Judges’ decisions are final with respect to all matters relating to the National Finalist Judging.

  8. GRAND PRIZE WINNER DETERMINATION VIA FINALS EVENT: Seven (7) Finalists [one (1) per Radio Station [five total], and two (2) from among the National Entries] will all have the opportunity to participate in a final cypher performance in Atlanta, GA (the “Event”). The Finalists’ performances at the Event will be judged by Sponsor-selected industry judges, whose decisions are final on all matters relating to the Contest, based on the following judging criteria: 40% Talent Exhibited; 30% Overall Appeal/Confidence; and 30% Originality/Creativity. In the event of a tie score, the tied Entries will be re-judged based solely on Talent Exhibited. All details of the Finals Event, including duration and exact tracks to use will be provided by the Sponsor or its agents and are in their sole discretion.  Details will be provided upon arrival and Finalists must adhere to the rules provided (and may need to execute a release in writing) in order to participate. In the event a Finalist does not perform at the Event, he/she will not be in the running for the Grand Prize. Judges’ decisions are final with respect to all matters relating to the Grand Prize Judging.

  9. PRIZES AND APPROXIMATE RETAIL VALUES (“ARV”): Grand Prize (1): A single deal with 300 Entertainment which includes a song that will be produced by London on da Track that will be released through a Sponsor selected music medium and $10,000, awarded as a check or wire transfer, as determined by the Sponsor. Winner will receive a 2-day/1-night trip, along with one (1) guest to Sponsor selected location to record the song. Trip consists of roundtrip coach class air transportation from a major U.S. gateway airport nearest winner’s residence to Sponsor-selected location, two (2) days and one (1) nights’ standard hotel accommodations [one (1) room, double occupancy], ground transportation to/from airport/hotel/music tour, and Sponsor-selected meals awarded in the form of a gift card (ARV: $17,000). Finalist Prize (7 total, 1 per Radio Station and 2 National): The opportunity to open at a concert for Sponsor-selected talent on a Sponsor-selected music tour at a Sponsor-selected location that is local to the Finalist and a 2-day/1-night trip for two (2) to Atlanta, GA for the opportunity to perform at the Event on date/time specified by Sponsor. Trip consists of roundtrip coach class air transportation from a major U.S. gateway airport nearest winner’s residence to Atlanta, GA, two (2) days and one (1) nights’ standard hotel accommodations [one (1) room, double occupancy] and ground transportation to/from airport/hotel, and Sponsor-selected meals awarded in the form of a gift card.  (ARV: $3,430). All details of the Prizes are in Sponsor’s sole discretion and winner agrees to participate as required. Grand Prize recording will be at a recording studio of Sponsor’s choosing. Finalist performance will be at a venue of Sponsor’s choosing.  No substitution or transfer of prize permitted except at the sole discretion of the Sponsor who reserves the right to substitute a prize of equal or greater value in the event the prize is unavailable. In the event the Sponsor-specified talent is unavailable for reasons out of Sponsor’s control, that portion of prize may not be awarded and no additional compensation will be provided. Winner also agrees that Sponsor or its agents may photograph, videotape or record any aspects of the Finalist Prize recording/Grand Prize performance and the Finalist/Grand Prize trip (“footage”) and use that footage or excerpts of that footage in any way they see fit.

  10. PRIZE RULES: Airline carrier's regulations and conditions apply. Trips may not be combined with any other offer and travel may not qualify for frequent flyer miles. Finalists, Grand Prize winner and travel companion must possess valid travel documents (i.e., valid government issued photo ID, etc.) in order to travel. Seat selection and timing of trips subject to availability and confirmation of reservations. Certain restrictions apply. Finalist Prize trip must be taken on dates specified by Sponsor in December 2016 or prize will be forfeited. Grand Prize trip must be taken on dates specified by Sponsor or prize will be forfeited. In the event a winner engages in behavior that (as determined by Sponsor and its Administrators, in their sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, the Sponsor and its Administrators reserve the right to terminate the winner’s trip/recording session/performance early and eject the winner from the trip/recording session/performance with no further obligation related to that portion of the prize. Travel must be round trip. Sponsor reserves the right to change dates of a Finalist/Grand Prize trip. If a Finalist Prize winner resides within a 100-mile radius of Atlanta, GA, ground transportation will be provided in lieu of air transportation and no compensation or substitution will be provided in lieu thereof. If a Grand Prize winner resides within a 100-mile radius of Sponsor-selected location, ground transportation will be provided in lieu of air transportation and no compensation or substitution will be provided in lieu thereof. Sponsor will not replace any lost, mutilated, or stolen travel vouchers or certificates. No refunds or credit for changes are allowed. All other expenses and costs, not expressly listed above, including, but not limited to, taxes, tips, meals, ground transportation, incidentals, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges, personal charges at lodging, security fees, entertainment and transfers, are Finalist/Grand Prize winner’s sole responsibility. No substitution or transfer of prize permitted except at the sole discretion of the Sponsor who reserves the right to substitute prize (or portion of prize) of equal or greater value in the event the prize is unavailable or cancelled for reasons out of Sponsor’s control (other than as specifically explained above). Finalist Prize/Grand Prize winners will be responsible for any other costs or expenses associated with the Finalist Prize/Grand Prize, including payment of applicable taxes. Travel companion must be the age of majority in his/her state of residence as of date of departure and must travel on same itinerary and at the same time as Finalist/Grand Prize winner. Travel companion (or winner on behalf of minor travel companion) must sign a liability/publicity release prior to issuance of travel documents.

  11. GENERAL: The Site’s computer timestamp is the official timekeeper for purposes of this Contest. Potential Semi-Finalists and Finalists (as applicable) will be initially notified by direct message on Twitter and must follow the instructions outlined in the direct message within a timeframe indicated by Sponsor or prize will be forfeited and an alternate winner will be determined, time permitting. Potential Finalists will then be required to sign and return, an Affidavit of Eligibility and liability and publicity release and assignment of rights, except where prohibited, within twenty four (24) hours of notification. If a potential Finalist fails to return the completed affidavit within twenty four (24) hours, or if affidavit is returned as undeliverable or if a potential Finalist is deemed ineligible, the Prize will be forfeited and an alternate Finalist will be determined, time permitting. Affidavit will be sent to potential Prize winners via email (or email link). Return of affidavit notification as undeliverable or failure to reply to direct message may result in disqualification and alternate Prize winner will be determined, time permitting. Potential Grand Prize winner will be required to sign and return, via email, a Grand Prize acceptance form (except where prohibited by law) and assignment of rights within forty eight (48) hours (including weekends) of notification attempt or the prize will be forfeited and alternate winner may be determined, time permitting. Prizes are nontransferable and no cash substitution is allowed except by the Sponsor, who reserves the right to award a prize of equal or greater value (except as specifically stated above). Winners and all Entrants, as a condition of entry into the Contest and Voters by voting, agree to release and hold harmless Sponsor and its Administrators, and each of their respective agencies, parents, subsidiaries, affiliates and each of their respective officers, directors, shareholders, members, employees, agents, assigns, and all others associated with the development and execution of the Contest (collectively the “Released Parties”) from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with submitting an Entry/Vote/participating in any Event or otherwise participating in any aspect of the Contest, the receipt, ownership or use of prize awarded or any typographical or other error in these Official Rules or the announcement or offering of the prizes. Entrants/Voters assume all liability for any injury or damage caused, or claimed to be caused by participation in the Contest or use or redemption of the prizes or participation in any Event. Acceptance of prize constitutes permission to use winners’ names, likenesses, footage, Entries and Submissions for promotional purposes (including any possible public relations opportunities) without further compensation except where prohibited by law. By entering, Entrant/Voters accept and agree to be bound by these Official Rules. Entries will be declared to be made by the authorized account holder of the Twitter account/Instagram account associated with the Entry. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Contest; violates these Official Rules; acts in an unsportsmanlike or disruptive manner; or acts with intent to annoy, abuse, threaten or harass any other person. The Released Parties are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network or telephone connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic/telephone communications, whether caused by the sender, by any of the equipment or programming associated with or utilized in the Contest which may limit the ability to participate, or by any human error which may occur in the processing of the Entries/Votes in the Contest. Entries generated by script or bot are not eligible. Sponsor reserves the right to cancel, terminate or modify the Contest if it cannot be completed as planned for any reason, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, technical failures or corruption of any sort. In such event, Sponsor will determine the Semi-Finalists and Finalists from eligible Entries received (from Radio Station Entries and National Entries) prior to cancellation as outlined above. As a condition of entering the Contest, Entrant agrees that: 1) under no circumstance will entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for out-of-pocket expenses; 2) all causes of action arising out of or connected with the Contest, or prize awarded, shall be resolved individually, without resort to any form of class action; and 3) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, but in no event will Entrant be entitled to receive attorneys’ fees or other legal costs.

  12. MISCELLANEOUS CONDITIONS: Except to the extent pre-empted by federal or other applicable state law, the Contest shall be governed by the laws of the State of New Jersey, without giving effect to any conflict of law provisions thereof. By participating in the Contest, entrants agree that any and all disputes which cannot be resolved between entrant and Sponsor, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New Jersey, having competent jurisdiction, which court shall apply the laws of the State of New Jersey without giving effect to any conflict of law provisions thereof. Any personal information supplied by any entrant will be subject to Sponsor’s privacy policy posted at http://www.verizon.com/about/privacy/.

  13. WINNERS: For the names of the Finalists and Grand Prize winner, available after December 28, 2016, send a stamped, self-addressed envelope by January 27, 2017, to: Verizon #Freestyle50 Challenge - Winners, 100 Marcus Drive, Dept: AS, Melville, NY 11747.
